Introduction


The increased focus on corporate governance since 2001, following the high profile collapses of companies such as Enron, WorldCom and Leisurenet, and the recent worldwide financial crisis, continues to highlight the importance of good corporate governance. The King II report redefined the corporate governance climate in South Africa and the revised King III report will incorporate, expand and align itself with many of the onerous and additional requirements included in the new Companies Act.

The new Companies Act 71 of 2008 is expected to be implemented during the middle of 2010 and will result in increased personal liability and onerous responsibilities for directors, who must be fully aware of these legislative amendments to ensure compliance and protect both their and the company's interests.
